Terms of Service
Effective June 1, 2026
These Terms of Service (the "Terms") are a binding agreement between MultiTEL LLC ("MultiTEL," "we," "us," or "our") and the person or entity that creates, controls, pays for, or uses a MultiTEL account or service ("Customer," "you," or "your"). By creating an account, ordering, accessing, or using any Service, you accept these Terms and represent that you have authority to bind the Customer.
1. Agreement and incorporated documents
These Terms apply to MultiTEL websites, portals, telephone numbers, voice, messaging, eSIM, hosted PBX, software, APIs, interconnections, and related communications products (collectively, the "Services"). The following documents are incorporated into these Terms when applicable:
- Acceptable Use Policy;
- Messaging Acceptable Use Policy;
- Personal/Consumer Messaging Schedule;
- Business/A2P Messaging Schedule;
- Communications Provider/Reseller Schedule;
- Privacy Policy, CPNI Notice, Emergency Services Policy, 911 Addendum, Number Portability and Port-Out Policy, Refunds Policy, service orders, rate sheets, and any product-specific terms presented at ordering.
If documents conflict, a signed service order controls for that order, then the applicable service schedule, then these Terms, then a general policy. Mandatory law always controls where it cannot be varied by agreement.
2. Eligibility, authority, and account information
You must be at least 18 years old and legally able to enter this agreement. If you use Services for an organization, you represent that you are authorized to bind it. You must provide current, complete, and accurate identity, ownership, contact, tax, payment, service-address, emergency-address, and use-case information. You must keep that information updated.
MultiTEL may require identity verification, beneficial-owner information, government-issued identification, business records, tax identifiers, messaging consent records, traffic forecasts, sample content, or other know-your-customer ("KYC") and use-case documentation. We may decline or condition service where verification is incomplete, inconsistent, or presents legal, fraud, security, credit, carrier, or reputational risk.
3. Service profiles and classification
Services are provisioned under one or more controlled profiles. Eligibility for one profile does not authorize use of another.
- Personal & Family. Services for an approved natural person and household. Personal messaging is limited to conversational messaging from an authenticated subscriber device and is governed by the Personal/Consumer Messaging Schedule. Personal service does not include API or SMPP message origination; sending automated or application-generated messages; messaging on behalf of a business or organization; or resale or downstream-customer use.
- Business. Services used by or for a company, organization, profession, campaign, nonprofit, public body, or other non-consumer sender. Messaging requires use-case approval and applicable sender, Brand, and Campaign registration under the Business/A2P Messaging Schedule.
- Communications Provider/Reseller. Services used to provide communications capabilities to downstream customers, brands, subscribers, or platforms. These Services require enhanced due diligence and are governed by the Communications Provider/Reseller Schedule.
MultiTEL may determine or change the appropriate profile based on the Customer, users, traffic, content indicators, origination method, complaints, documentation, or other relevant facts. Mislabeling traffic or using a lower-control profile to avoid registration, review, fees, or enforcement is a material breach.
4. Limited right to use the Services
Subject to these Terms, applicable schedules, payment, and continuing approval, MultiTEL grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Services ordered for your approved profile and use case. No rights are granted by implication.
You may not sell, lease, sublicense, provide, or expose a Service to another person except where expressly approved under the Communications Provider/Reseller Schedule or a written service order. You may not reverse engineer, decompile, probe, bypass, disable, or defeat security, fraud, compliance, rate, routing, registration, or usage controls, except to the limited extent such a restriction is prohibited by law.
5. APIs, applications, and credentials
API, SMPP, trunking, and similar programmatic access is available only to specifically approved Business and Communications Provider/Reseller accounts and only for approved Services and use cases. Personal & Family service includes no messaging API access. Public API documentation, sample code, or the technical ability to reach an endpoint does not grant eligibility or permission to use it.
You are responsible for applications, integrations, users, and traffic using your credentials. Keep credentials confidential, apply reasonable access controls, rotate compromised credentials, and promptly notify MultiTEL of suspected unauthorized use. MultiTEL may change, deprecate, rate-limit, or withdraw an interface where reasonably necessary for security, compliance, carrier requirements, or service operation.
6. Messaging Services
All SMS, MMS, RCS, and similar messaging is subject to the Messaging Acceptable Use Policy and the schedule applicable to the sender and traffic. Messaging capability is not guaranteed merely because a number can support messaging technically. Approval may be specific to a Customer, Brand, Campaign, use case, sending method, number, country, volume, or content category.
You are responsible for obtaining and documenting legally sufficient consent, honoring opt-out and revocation requests, identifying the sender, maintaining required registrations, using approved content and numbers, and complying with applicable law, carrier requirements, and industry standards. MultiTEL may block, filter, throttle, quarantine, suspend, or terminate messaging immediately where required to protect consumers, networks, carriers, MultiTEL, or the public.
7. Telephone numbers and number portability
Telephone numbers are assigned for use with the Services and are not sold. Rights in numbering resources remain subject to law, numbering administrators, and underlying carriers. MultiTEL may change or reclaim a number when required by law, a carrier, nonpayment, prolonged inactivity, fraud, exhaustion, or termination. We will provide required notice where reasonably possible and legally required.
Porting depends on accurate records, authorization, eligibility, third-party cooperation, and payment of applicable charges. Do not cancel existing service until a port completes. MultiTEL is not responsible for delays or rejection caused by incorrect information, third parties, or regulatory requirements.
8. Emergency calling
Internet-based calling and eSIM Services may differ from traditional telephone service and may not operate during power, broadband, device, configuration, or network failures. Where 911 or other emergency service is offered, you must provide and maintain an accurate registered service address and comply with the applicable E911 policy and notices. Do not rely on a Service for emergency calling unless it is expressly enabled and correctly configured.
9. Charges, taxes, balances, and payment
You must pay all recurring, usage, registration, carrier, pass-through, government, tax, surcharge, and other charges associated with your account and traffic. Published prices may exclude carrier fees, registration charges, taxes, and use-case-specific costs. Charges may apply to attempted, filtered, rejected, or delivered traffic where imposed on MultiTEL by an upstream provider.
MultiTEL may require a prepaid balance, deposit, credit limit, minimum payment, or automatic recharge. You authorize MultiTEL and its payment providers to charge your selected payment method for amounts due and permitted automatic recharges. Negative balances are immediately due. We may apply payments first to overdue amounts and suspend Services for nonpayment, failed payment, credit risk, or insufficient balance.
Review statements and report a good-faith billing dispute to billing@multitel.net within 30 days after the charge. Undisputed amounts remain due. Refunds and credits are governed by the Refunds Policy and applicable law. MultiTEL may change recurring or usage rates upon reasonable notice, except that carrier, regulatory, tax, fraud, or emergency pass-through changes may take effect sooner where reasonably necessary.
10. Service availability and changes
Services may be unavailable or degraded because of maintenance, congestion, Internet or power failures, emergency conditions, attacks, third-party networks, regulatory action, or events outside MultiTEL's reasonable control. MultiTEL may modify routing, features, technical requirements, providers, interfaces, or security controls. We will use commercially reasonable efforts to provide notice of material changes when practical, but no Service is guaranteed to be uninterrupted or error-free unless a signed service order expressly states otherwise.
11. Security, privacy, and records
You must maintain reasonable administrative, technical, and physical safeguards for accounts, devices, credentials, personal information, message data, recordings, and applications. You are responsible for lawful collection, use, disclosure, retention, and deletion of Customer content and end-user data.
As described in the Privacy Policy and applicable schedules, MultiTEL may process account information, communications metadata, content indicators, complaint data, consent and registration records, and traffic patterns to provide Services; secure networks; detect fraud, abuse, and policy violations; respond to legal process; meet carrier and regulatory requirements; and enforce agreements, as permitted by law. MultiTEL may preserve approval, verification, security, and enforcement records for legitimate business and legal purposes.
12. Suspension, restriction, and termination
You may stop using Services and request account closure, subject to outstanding charges, porting, minimum commitments, and product-specific cancellation procedures. MultiTEL may restrict, suspend, reclassify, or terminate any Service or account immediately where we reasonably believe there is fraud, unlawful or unapproved traffic, consumer harm, a security incident, false or incomplete information, nonpayment, a policy violation, carrier action, or material risk to a network or third party. We may act without advance notice where delay could increase harm or prevent effective enforcement.
For other material breaches, MultiTEL may provide a reasonable opportunity to cure when appropriate. Suspension does not waive charges already incurred or charges for Services that remain reserved or active. Upon termination, your right to use the affected Services ends. Provisions that by their nature should survive, including payment, records, intellectual property, disclaimers, liability limitations, indemnity, and dispute terms, survive.
13. Customer content and intellectual property
You retain rights in content you lawfully provide. You grant MultiTEL and its providers a worldwide, non-exclusive license to host, transmit, route, process, reproduce, and otherwise use that content only as reasonably necessary to provide, secure, support, and enforce the Services and comply with law. You represent that you have all rights and permissions needed for that processing.
MultiTEL and its licensors retain all rights in the Services, software, portals, APIs, documentation, trademarks, and related technology. Feedback may be used by MultiTEL without restriction or compensation. Open-source components remain subject to their applicable licenses.
14. Third-party services
Services may depend on carriers, registries, payment processors, cloud providers, device platforms, and other third parties. Their requirements may apply to your use and may change. MultiTEL is not responsible for third-party products or acts outside its reasonable control, but may enforce third-party requirements necessary to continue providing the Services.
15. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." MULTITEL DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. MULTITEL DOES NOT WARRANT UNINTERRUPTED, ERROR-FREE, SECURE, OR UNIVERSALLY DELIVERED SERVICE, OR THAT ANY NUMBER, MESSAGE, CALL, ROUTE, REGISTRATION, OR THIRD-PARTY NETWORK WILL REMAIN AVAILABLE.
Nothing in these Terms excludes warranties or remedies that applicable consumer law does not permit the parties to exclude.
16. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MULTITEL AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, CONTENT, OR COMMUNICATIONS, EVEN IF ADVISED OF THE POSSIBILITY.
MULTITEL'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID MULTITEL FOR THE AFFECTED SERVICE DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THIS LIMIT DOES NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED. The Limitation of Liability policy supplements this Section and is incorporated only to the extent consistent with these Terms.
17. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless MultiTEL and its affiliates, officers, employees, contractors, and suppliers from third-party claims, penalties, investigations, losses, and reasonable costs (including attorneys' fees) arising from your content, traffic, applications, end users, breach of these Terms, failure to obtain consent, infringement, unlawful conduct, or violation of carrier or registration requirements. MultiTEL may control the defense of a matter subject to indemnity, and you may not settle it in a way that admits fault by or imposes obligations on MultiTEL without written consent.
18. Governing law and disputes
These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law rules, except where United States federal law applies or mandatory law requires otherwise. Subject to any non-waivable consumer forum right, the state and federal courts serving Oakland County, Michigan have exclusive jurisdiction. Before filing a claim, each party will make a good-faith effort for at least 30 days to resolve it after written notice describing the dispute and requested relief.
19. Changes, notices, and general provisions
MultiTEL may update these Terms and incorporated policies. Material changes will be posted with an effective date and, when required, additional notice. Continued use after an effective date constitutes acceptance to the extent permitted by law. If you do not accept a change, you must stop the affected Service before it takes effect.
Notices may be delivered through the portal, website, email, billing statement, or account contact information. You must keep contact information current. You may not assign these Terms without MultiTEL's written consent. MultiTEL may assign them in connection with a reorganization, financing, sale, or transfer of the affected business. Neither party is liable for delay caused by events beyond reasonable control, but payment obligations for Services already provided remain due.
If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remainder will continue. Failure to enforce a provision is not a waiver. These Terms and incorporated documents are the entire agreement concerning the Services unless a signed service order states otherwise. Headings are for convenience only.
